Rapidly expanding Private Equity fund manager is seeking a Paralegal to support the corporate secretary and compliance teams' in their Miami, Florida office, and will report to the Miami-based Corporate Secretary. This position is designed to have the employee develop on a career track towards becoming a regional Corporate Secretary. The company is currently four days a week in the office.
Some key responsibilities include:
- Assisting with the coordination and preparation of draft formation documentation for filing with respective regional registrars.
- Care taking and uploading of executed documents to SharePoint in the current, established format, informed by past practice and the Corporate Secretaries’ standard of organization.
- Assisting with the collection and sharing of legal documentation with 3rd party service providers, as requested.
- Routinely updating the legal entity database with the recording of newly formed entities and changes to management appointments and resignations.
- Quarterly review of current recordings in the legal entity database to ensure continued accuracy of information.
- Review, update, and enhance legal entity checklists and template documents.
Skills include:
- Highly organized and detail oriented.
- Familiarity with legal and compliance documentation and work.
- Flexible work schedule and is able to work independently, when required.
- Adept with Microsoft Office software applications, particularly SharePoint, and is able to learn new software applications quickly.
- Familiarity with U.S. Securities and Exchange Commission filings with Form ADV, 10k/Q and Section 16 being a plus.
Experience :
- At least 7 years’ experience as Paralegal or Legal Assistant
- Paralegal certificate preferred
Compensation is $95 - $110K Base, depending on experience, plus a target bonus.
