Kelley Drye & Warren LLP’s Corporate practice group is seeking a senior-level Corporate Associate. Candidates must have at least 5 years of experience with a solid foundation in M&A, securities matters and/or lending work, who enjoy the variety and diversity of a broad-based general corporate practice. Our lawyers handle deals of all sizes and complexities. But our sweet spot is serving as a strategic partner and adviser to middle-market companies, both public and private, in the United States and around the world.
Responsibilities
Provide expert legal advice and guidance on mergers and acquisitions, private securities offerings, corporate governance, and other related matters
Draft and negotiate complex transactional documents, including purchase agreements, shareholder agreements, and confidentiality agreements
Conduct due diligence investigations and prepare comprehensive reports for clients
Manage and oversee junior associates and paralegals on various transactions
Collaborate with cross-functional teams to ensure seamless execution of deals
Stay updated on relevant legal developments and industry trends to provide proactive and strategic advice to clients
Represent clients in negotiations, mediations, and other dispute resolution processes, when necessary
Public securities and stock exchange compliance including 34 Act, and 33 Act a plus
Requirements
Juris Doctor (J.D.) degree from an accredited law school
Minimum of five years of law firm experience in general mergers and acquisitions matters
Strong knowledge of corporate law, securities regulations, and corporate governance principles
Excellent drafting and negotiation skills, with a keen attention to detail
Proven ability to manage multiple complex projects simultaneously
Exceptional analytical and problem-solving abilities
Excellent interpersonal and communication skills, both written and verbal
Ability to work independently and collaboratively in a fast-paced and demanding environment
We work seamlessly across office lines and are open to considering experienced candidates in any Kelley Drye office but have a strong preference for the candidate to be based in Chicago, IL. Bar admission is required in an attorney’s resident and/or affiliated office.
